Since both companies say they are committed to completing the transaction the risk must be that the Rational shareholders won't approve it. The shareholders of both companies must approve it and I think a simple majority is all that is required. It looks like the float on RATL is about 62%, so if most of the outsider shareholders vote against the deal, it could be rejected.
