Mission Critical Software Inc. Announces Follow-on Offering

HOUSTON--(BUSINESS WIRE)--Nov. 11, 1999--Mission Critical
Software Inc. (NASDAQ:MCSW), today announced that it has completed a
public offering of 4,000,000 shares of common stock at a public
offering price of $57 per share. Of the 4,000,000 shares of common
stock being offered, the company is selling 1,500,000 shares and
selling stockholders are selling 2,500,000 shares. The company may
sell an additional 600,000 shares in the offering, pursuant to an
over-allotment option granted to the underwriters of the offering.
Mission Critical Software will not receive any of the proceeds from
the sale of the shares by the selling stockholders.
The follow-on public offering is being underwritten by Hambrecht
& Quist, Robertson Stephens, SoundView Technology Group and Dain
Rauscher Wessels, a division of Dain Rauscher Incorporated.
