QUEPASA.COM ANNOUNCES AGREEMENT WITH NET2PHONE
TO DISTRIBUTE

Internet Telephony Services

Business Editors

PHOENIX--(BUSINESS WIRE)--November 11, 1999--Quepasa.com (Nasdaq:
PASA), the premier online community for the U.S. Hispanic market
(www.quepasa.com) announced an agreement today with Net2Phone (Nasdaq:
NTOP), a leading provider of voice-enhanced Internet communications
services, to offer quepasa.com's users unified messaging, PC-to-phone
and calling card services.
"Quepasa.com understands Hispanics are extremely community and
family-focused, with connections to people all over the world," said
Gary L. Trujillo, Chairman and CEO, quepasa.com. "As a result, we tend
to spend a great amount of time and money on telecommunications
services. This agreement gives quepasa.com's members the ability to
both maintain and grow their communities, online and offline, while
saving them money."

Quepasa.com and Net2Phone will create a unified messaging and
communications center on quepasa.com, called "The Connection" (in
Spanish, "Conexion") where users will have the ability to send and
receive voice mail, faxes, e-mail and telephone calls from a single,
integrated Web-based environment. Through "The Connection,"
quepasa.com members will be able to download Net2Phone's free
PC-to-phone software and place calls to any telephone in the world at
low rates.

Additionally, quepasa.com is offering free calling cards for
registered users at containing up to 50 minutes of long distance
calling time. Once users have activated their cards, they will be able
to add more minutes at a fraction of the cost of normal long distance
rates by visiting quepasa.com's "My Phone Connection." To launch the
"My Phone Connection" offering, quepasa.com will be launching a new
marketing initiative through targeted email and direct mail campaigns.
