Hello Chad: I am not an expert on pps. But I do recall reading somewhere that if you invest $25,000 or more on a VSE listed company that you are then assumed to be a sophisticated investor. If you invest less than this the rules are much more stringent for the companys issuing the pps. Because of this STS may not be interrested which would be revealing in itself. Perhaps somebody else could elaborate.
