W.T.S: The use of Total Control merely implies that T.M has near total Control over the Board members.(His Cronies).

In a hostile take over, the Buyer gets 50.01% of the shares and then replaces the Board with his men. The trouble applying this to NN is that T.M has promised to take his R&D experts with him to one of his start ups. These threats are often made by original Owners of Tech Companies that have foundered but are good M&A targets.
