Razor, every state has its own set of criteria which must be established and balanced by a court that is attempting to determine whether to "pierce the veil" in a particular set of circumstances. The criteria I am familiar with (and recall off the top of my head <vbg>) generally require proof that the corporation to be pierced is a "sham" or "alter ego" operation for another person or entity, and evidence that corporate formalities are abused or ignored, etc. I don't know what argument might be fashioned by plaintiff lawyers here but I would guess that piercing B&W to get at MDR would be quite a long shot. Just my quick and dirty 2 cents.
