Private placements require a minimum amount to be invested to avoid the requirement/cost/time associated with preparing a prospectus. There is a concept of sophisticated investor which varies according to the jurisdiction of the company and the investor. For B.C. residents the minimum amount which has to be invested by EACH investor is $97,000.
The amount is actually higher if you reside is some other jurisdictions like Ontario or Quebec($150,000). Sorry to rain on everyone's parade but the amounts people are talking about just won't cut it.
