Med-Emerg International Inc. (Nasdaq: MDER-MDERW), has signed a letter of
intent with MedcomSoft Inc., a leading provider of Web-integrated healthcare
provider systems, to develop a nationwide virtual health information network and
secure Web browser healthcare applications for consumers and physicians. These
applications will be used by Med-Emerg's subsidiary, HealthyConnect.com Inc.,
an Internet information technology company.
By combining Med-Emerg's primary care operation, its new secure Web-browser
applications and the Professional Health Monitor 1.0 and MedcomSoft's
MedWorks 3.0 practice management and Web-enabled medical record software,
consumers will be able to access reliable health information and advice that has
been prescreened by their physicians. Families will have point and click access to
their personal electronic health records and wellness plans in complete privacy
thereby empowering them to take control and manage their health in partnership
with their physician.
Under the contemplated transactions, Med-Emerg's contracted physicians will be
supplied with MedcomSoft's leading MedWorks 3.0 software product. The initial
200 licences are to be implemented before the end of the next quarter. In addition,
Med-Emerg and MedcomSoft will enter into a partnership for the co-marketing
and distribution of their respective products and services in both Canada and the
United States.

Med-Emerg, through its subsidiary HealthyConnect.com Inc., an Internet
information technology company, that uses enabling technology to link patients,
physicians and services providers. HealthyConnect.com is an eHealth industry
participant providing connectivity and Web-based products and dynamic health
information content to its rapidly growing subscriber base. Med-Emerg's medical
management arm specializes in the co-ordination and delivery of emergency and
primary healthcare related services in Canada. These services include physician
and nurse staffing and recruitment, clinical management services, the development
and management of urgent care centers, and a comprehensive physician practice
