NEWS RELEASE!! April 14, 1997 STRATHMORE RESOURCES LTD. ("SMR") - Special Warrants into Units / Prelim. EOP The Company's preliminary Exchange Offering Prospectus dated April 9, 1997 has been filed with the Vancouver Stock Exchange, and filed with and receipted by the B.C. Securities Commission on April 10, 1997, pursuant to the provisions of the B.C. Securities Act. The preliminary EOP is for the conversion of special warrants into units, to be issued to the owners of the special warrants, as follows: Agent: Whalen Beliveau & Associates Inc. Offering: 3,000,000 units. Each unit consisting of one share and one non-transferable share purchase warrant to purchase an additional common share for $0.50 until November 26, 1996 and for $0.58 until November 26, 1998.
