Vignette Corporation Announces Secondary Public Offering
AUSTIN, Texas, Nov. 17 /PRNewswire/ -- Vignette Corporation (Nasdaq: VIGN - news) today announced that it has filed a Registration Statement with the Securities and Exchange Commission with respect to the offering of 1,229,500 shares of its common stock (on a pre-split basis). Of the shares included in the offering, 900,000 shares will be offered by Vignette and 329,500 shares will be offered for resale by certain stockholders of the company. The underwriters have the option to purchase up to an additional 184,425 shares to cover over-allotments. The underwriters for the offering will be Morgan Stanley Dean Witter, Hambrecht and Quist, Dain Rauscher Wessels, and US Bancorp Piper Jaffray.

All share information is on a pre-split basis and will not give effect to the two for one stock split which is payable December 1, 1999. Vignette Corporation common stock will begin trading on a split-adjusted basis on December 2, 1999.

A Registration Statement relating to these securities has been filed with the Securities and Exchange Commission, but is not yet effective. These securities may not be sold nor may offers to buy be accepted prior to the time the Registration Statement becomes effective.
