"MATHSOFT EXPANDS RETAIL DISTRIBUTION FOR STUDYWORKS - Additional Outlets Fuel Continued Growth of Top-Selling Educational Software"

CAMBRIDGE, Mass. November 22, 1999 MathSoft, Inc. (NASDAQ:MATH), the provider of the broadest line of technical calculation and analytical software for business and academia, today announced that over the last three months, it has increased the number of retail stores carrying its successful StudyWorks!© software line for high school and college students by 62%. The StudyWorks titles, which consistently rank among the top-selling in their category, are now available for purchase at leading office and software outlets such as Best Buy, OfficeMax and Staples. StudyWorks will continue to be available across the United States and Canada at CompUSA, Electronics Boutique and Office Depot, among other retail outlets.

Since introducing its innovative StudyWorks product line three years ago, MathSoft has moved quickly up the ranks to become a premier education software publisher. According to PC Data, MathSoft is the leading software publisher in the high school science category, above The Learning Company, with StudyWorks Science capturing over 50% of the market share in 1999.

MathSoft is also the third-ranked publisher in the high school math category, where its most popular title, StudyWorks Mathematics, has nearly doubled in sales in the last year. MathSoft has gained significant market share from competition, including The Learning Company, which currently
leads in this category but has seen declines in sales over the last year.

Ingram Micro reported that the three StudyWorks products were among the top five education titles, across all grade levels and subjects, it distributed in Canada during the back-to-school shipping season. Overall, U.S. and Canadian unit sales of the StudyWorks line, consisting of Mathematics, Mathematics Deluxe and Science titles, have grown 140% during the nine months ended September 1999 compared to the same period for last year, and nearly 270% as compared to the same period in 1997.

"The triple-digit growth of the StudyWorks line proves that we have hit the mark with our product and are delivering software that fits the needs of a large segment of the high school market," said Chris Randles, senior vice president and general manager, MathSoft, Inc. "The proven success of
these titles in established outlets is the driving factor behind further retail expansion. By adding thousands of additional outlets throughout North America, we are giving more consumers access to the product and creating additional opportunity for growth."

The StudyWorks retail expansion includes:

A 62% increase in the total number of stores carrying the StudyWorks software since the 1999 back-to-school season.
Across-the-board retail coverage in Canada, including Radio Shack, Multi-Micro and Chapter?s Books. The addition of major North American retail vendors such as Best Buy, Office Max and Staples, three of the largest office and electronics
superstores; as well as additional locations for existing retail vendors.
