As far as NN valuation, you have hit the nail on the head.

if NN's ATM technology stays with NN nobody [Any of the bidding companies] will get hurt in the long term. But they can't say that if the other guy, i.e Big-Pockets [One of the other bidding companies] buys NN: then we [All of the other bidding companies] could be facing some very serious competitive threats that few may be willing to disregard.
