Does a Merger with SDL Make Sense?
In response to investor inquiries, we have assessed the possibility of JDSU
acquiring SDL Inc. (SDLI-Q). Our analysis is not intended to fuel merger
speculation but merely to examine the facts. We believe that there could be a
good fit between JDSU and SDL from a market perspective. Even though there is
some overlap in the product lines, particularly in active devices, there are
several attractive technologies and options that such an acquisition could
provide to JDSU:
* Good pump laser technology. In some respects SDL leads the market,
particularly in output power.* Strong penetration of submarine markets.
* SDL appears to have the lead so far (at least judging from public
announcements) in Raman amplification, which is a promising new technology for
optical amplification that would allow ultra-long transmission spans.
* Additional device packaging capabilities that JDSU needs.
* From a strategic point of view, it would deny E-Tek the opportunity to merge
with SDL and create an integrated supplier that could rival JDSU.
