Vitesse Semi To Seek Doubling Of Authorized Shrs To
500M

WASHINGTON (Dow Jones)--Vitesse
Semiconductor Corp. (VTSS) will hold its annual
shareholder meeting on Jan. 25, 2000, to vote on
a proposal to amend the certificate of
incorporation to increase the number of
authorized common shares to 500 million from 250 million, according to a
preliminary proxy statement filed with the Securities and Exchange Commission
Friday.

According to the filing, shareholders as of the close of business on Dec. 2 are
entitled to vote at the meeting.

In addition, shareholders will elect five new members to the board and vote to
approve the appointment of KPMG L.L.P. as the company's independent
auditors for 2000, among other things.

Based in Camarillo, Calif., Vitesse Semiconductor supplies digital gallium
arsenide semiconductor chips for commercial, industrial and military customers.
