Gary, just got off the phone with the SEC compliance division at Paine Webber.

A 504 offering must be closed out at the time a OTC company files the form 10. It can no longer use a 504 offering to raise capital with after they file the form 10.

The Jan 6 date has nothing to do with the quoting of a OTC company. All they have to do is close out any 504's and file the form 10. So any 504 issued after the JAN 6 date should not be a problem for OTC companies to be quoted on the OTC.
