WAYNE, Pa. (Dow Jones)--Internet Capital Group Inc. (ICGE) signed an agreement
to sell 609,533 common shares to AT&T Corp. (T) for $50 million in a private
placement.

In a press release Thursday, Internet Capital said it plans to explore a
variety of potential strategic relationships with AT&T.

Internet Capital said the purchase price and number of shares were based on
its closing price Dec. 3, as adjusted for a 2-for-1 stock split to be paid on
Dec. 10 to all holders of record Dec. 6. Internet Capital closed at 164 1/16 on
Dec. 3.

The private placement with AT&T is expected to close during December.

Shares of Internet Capital closed at 213 5/16 Wednesday, up 43 5/16, or 25.5%,
in Nasdaq trading.

Internet Capital, an Internet holding company engaged in doing business over
the Internet through a network of partner companies, reported 126.6 million
shares outstanding as of Dec. 1.
