AMR to spin off Sabre Holdings, with new chief-WSJ

NEW YORK, Dec 14 (Reuters) - American Airlines' parent AMR Corp. (NYSE: AMR - news) is expected Tuesday to announce plans for a $6.2 billion spinoff of its computer-services company Sabre Holdings Corp., (NYSE:TSG - news) the Wall Street Journal said.

AMR is also expected to announce the hiring of William Hannigan, the president of SBC Communications Inc.'s (NYSE:SBC - news) unit SBC Global Markets, as chief executive of the newly independent company, the report said. Hannigan would succeed Michael Durham, who resigned in September.

AMR will spin off its 83 percent stake to AMR shareholders in March. AMR shareholders will receive 0.7 share of Sabre stock for each AMR share, the report said. Sabre shareholders will receive a one-time dividend of about $5.50 per share, or a total of $675 million, prior to the spinoff.
