The US amateur photography market is valued at close to $15 billion with 90%
of the 100 million households in America developing 7.4 rolls of film per
year. The industry estimates that 20% - 40% of the 72 billion photos taken
annually will be processed digitally by 2000. The Imerge Consulting Group
LLC, a leading imaging market research and business development firm
announced the opportunities derived from film digitization, Internet
membership photo sharing and the redistribution of images to prints and
reprints, will grow to become a $5.64 billion opportunity by the year 2003.
Another independent study released in November 1999 forecasts that online
photofinishing revenues will exceed $3 billion by 2002. E-commerce revenues
are projected to eclipse the $94.9 million mark by 2000. PhotoChannel will
generate e-commerce revenue from the following sources:

- Photofinishing: selling online photofinishing services; selling
downloads of high resolution images scanned utilizing the PhotoChannel
photofinishing service; and charging for online storage for images in excess
of 120 MB.
- Online Store: selling digital and conventional photography
equipment, accessories and supplies; selling digital imaging software; and
selling film.
- Advertising: selling advertising to camera manufacturers and others
who target their products at the Photochannel user demographics.

Digital photography is one of the hottest technologies since the Internet
and recently many photo fulfillment Internet portals have emerged. As
highlighted in a recent CNBC report, even Jim Clark of Netscape fame, the
only man in history to have created and grown three companies from inception
to public companies with more than $1 billion in market capitalization, has
entered into the digital photo printing service. An avid photographer Mr.
Clark sees a high demand and solid consumer niche for an online digital
photography service that transforms digital images into professional prints.

PhotoChannel will be offering online photofinishing services at prices
competitive with conventional film processing. The key to PhotoChannel's
ability to offer such an innovative service at a low price is the arrival of
the Fuji Frontier Digital Minilab in early 2000. Fuji's system enables the
printing of photographic quality prints from pictures taken with digital
cameras, and the processing, scanning and printing of 1 roll of 24 exposure
conventional film per minute.

In combination with PhotoChannel's exclusive technological edge in
reconfiguring these systems through its licensing of source code, this
equipment is the technology enabler and competitive advantage of
PhotoChannel's online photofinishing service. It forms a barrier to entry
preventing potential competitors from utilizing this equipment to perform a
similar service.

PhotoChannel has received "No Further Comment" from the SEC regarding its
form 20F/A to be listed on the OTC Bulletin Board, pending symbol PHCHF.
Being listed on the OTC:BB allows US stockbrokers to give quotes and sell
PhotoChannel shares directly to US investors. PhotoChannel has launched a
large IR campaign in the US to coincide with the Bulletin Board listing.
