Dear HRCT Shareholders:

Recently, there have been some claims made in regard to the legality and integrity of DDInvestor in its relationship with HRCT. Certain individuals have gone to great lengths to smear us in their blatant attempts to smear Hartcourt.

As you know, as often as possible, we attempt to avoid directly engaging bashers in dialogue. They NEVER acknowledge that you have proven them wrong and simply go on with the same arguments regardless of how conclusive the facts are.

However, as our reputation reflects on HRCT's reputation, we did feel that it is necessary to make a few things clear.

1) Our Payment
DDInvestor has always been completely forthright about the fact that we are RETAINED by Hartcourt and paid for providing our Public Relations and Investor Relations services.

2) Our Disclaimer
On every post that we make on boards or mailings for our clients, we post our disclaimer, stating that we were retained by the client and we provide either the nature of our compensation or provide a link to the disclaimer which
spells out the exact nature of our compensation. We have discussed this practice with an attorney and have been informed that we are abiding by all applicable laws. We are continuing to research this matter with the SEC to
insure that our practice is acceptable.

3) The Amount that we have Received
When DDInvestor accepted this contract, HRCT's share price was approximately $1. We accepted the promise of a relatively small monthly payment in shares and a smaller cash payment because we believed in HRCT and felt certain that, once more people heard about the company, the stock price would reflect the company's worth. Even we did not imagine just how quickly that would happen.

4) Our Share Payments
DDInvestor has not sold one share of our share payments from HRCT. We are paid in shares that have a time restriction on them and so we cannot sell them for some time.

5) "Hyping"
DDInvestor does not make recommendations to people. We are not investment advisers. We do not give advice. We are very clear on this. We are an outsourced PR/IR company that answers investor questions, circulates company information and tries to counter the lies that can sometimes appear on public forums.

6) HRCT
We believe in HRCT, its business plan and its accomplishments. We attempt only to accept contracts with companies that we trust and have faith in.
