DEC 16, 1999, M2 Communications - Visio Corp. (Nasdaq: VSIO) announced
that its shareholders voted to approve its merger agreement with
Microsoft Corp. at a special shareholder meeting held today at Visio's
headquarters in Seattle.

"This is a major milestone toward completing the pending merger
transaction with Microsoft," said Jeremy Jaech, president and chief
executive officer of Visio Corp. "We are pleased that our shareholders
recognise the value of this business combination. We remain optimistic
that the transaction will close in January 2000 pending completion of
regulatory review by the U.S. Department of Justice and the
satisfaction of other customary closing conditions."

Announced on Sept. 15, 1999, the merger is structured as an exchange
of stock in which each share of Visio common stock will be exchanged
for 0.45 shares of,' Microsoft common stock.
