Michael,

Shares have been RESERVED FOR ISSUANCE. That means they don't currently
exist and as such do not currently stand as a dilutive factor. They are
also RESTRICTED shares hence not "about to befall" anywhere.

Loans are long term because they go out as far as the yeat 2,000.

The 2 due in December are secured by stock holdings.
They are not loaning officers money. They DID (past tense). I would
think the 2 due in Dec. have a very small amnt. of principle left.
No loans were made in 1996 while they collected 117K in payments.

Profit Margins UP from 2.1 to 6.4% and due to renegotiation of contracts
are expected to continue to improve.

Decreased administrative expenses are also detailed.

I see nothing irregular in any of this.

I would like anyone else who has read the document to provide their
assessment of it. Has Mr. K. been clumsy in his truncated presentation?
