Hi Mike,

A few posts back, I ask the thread to take a look at the 10K on Edgar and post their thoughts on the subject.

The Livikis option for 1.9 million shares at $1.12 is NOT EXERCISEABLE UNTIL NEXT YEAR. I am more concerned about this year. This option also runs for a FOUR YEAR period.

The series B convertible is being issued for the purpose of completing the purchase of Concepts. This was known a long time ago. I am currently trying to find out the plan for these preferred shares and who is getting them. I had heard somthing about the Concepts owners being involved but am not positive. The Concepts owners apparently wished to hold shares in IFCI. If the shares are driven higher during the next two months, the lower the dilution. My earnings projection of $0.30 per share for the year is based on 10 MILLION SHARES. A PE of 20 puts IFCI @ $6 by year end. Concepts has a much higher margin than the Fibercom subsidiary. $3 million in earnings for the year is very possible.

The loans have already been discussed here. These were made 3 years ago. It is a different company now.

And one more thing, IFCI is NOT A BB STOCK !!!!!

Mike
