Diam,The diff is these guys are relentless on LU.How many times does Mcginn have to speak out about this OLD STORY?The story will end after this quarter when LU announces a STOCK SPLIT after they post SOLID EARINGS......YAHOO TODAY

Lucent seeks to boost authorized shares to 10

WASHINGTON, Dec 21 (Reuters) - Lucent Technologies
Inc.(NYSE:LU - news) said Tuesday it is seeking to raise the number
of its authorized common stock to 10 billion shares from six billion
shares, a Securities and Exchange Commission filing said.

``The board believes that the increase in the number of authorized shares will provide us with
the flexibility necessary to maintain a reasonable stock price through future stock splits,' the
company said in its proxy.

The telecommuncations company said it cannot guarantee that its stock price would continue to
rise or that the board would declare a stock split at all, but the proposal would avoid the
expense of calling a special stockholders' meeting or waiting until the next annual meeting to
make such a decision.

The company asked its shareholders to increase the number of authorized shares by approving
an amendment to Lucent's certificate of incorporation at its shareholder meeting Feb. 16, 2000 in
Oakland, Calif.

There are about 3.07 billion shares outstanding in Lucent as of Oct. 1, the proxy said.

Lucent shares closed down 3-3/8 to 79-15/16 on the New York Stock Exchange.
