The special meeting of shareholders of the company which was called by certain dissident
shareholders and scheduled to be held on May 14, 1999, has been postponed by the court
pursuant to a hearing held on May 13, 1999, in the Ontario Superior Court of Justice,
Commercial List. The judge was not satisfied that adequate and fair notice had been given to
the company's shareholders for the purpose of the upcoming meeting. As a result, the
requisitioned meeting was ordered postponed, and to be held once full and proper notice to
all beneficial shareholders has been given, with a clear form of proxy. The court ordered that
the requisitioned meeting be held between the dates of June 14, 1999, and June 18, 1999, and
new materials be mailed out to the shareholders.
The proposal for an independent chair to be appointed for the meeting was rejected by the
court on the basis that it would not be appropriate to assume that proper procedures would
not be followed by the existing board of directors.
The special meeting was called for the purpose of replacing directors by certain dissident
shareholders. The board of directors did not respond to the shareholders in general because
it was of the view that the May 14 meeting was improper for a variety of reasons. This time
the board will deliver its own materials to all of the shareholders so that they can have a fair,
accurate and informed view of the company's position. The company's goal continues to be
to maximize asset value and shareholder value for the benefit of all the shareholders of
Stamford.
