1.) LMDS SERVICES

LMDS Communications Inc.

The Company participated in an auction conducted by the Federal Communications Commission on April 27, 1999 (the "Auction") for 161 Local Multipoint Distribution System ("LMDS") licenses. The auction closed on May 12, 1999 after 43 rounds of bidding.
The Company bid at the auction for 12 different licenses. The company successfully won all 12 licenses that it had targeted at the auction. The company won the following "A Block" licenses:

The company was the fourth highest bidder by total number of high bids with a gross bid total of $1,801,000.00. Due to the company?s very small business status the FCC has granted a 45% discount off of the total bid amount for a net bid of $990,550.00. The price per population averages out to $0.635 with the discount applied.

The Company will now build, install, and implement the telecommunication systems and offer some or all of the following one and two-way broadband services:

An alternative to cable television service
High-speed Internet access
Video teleconferencing
Wireless local loop telephony
High-speed data transmission (i.e. ATM).
The services the Company will offer will be determined by the individual markets. The FCC notes in its LMDS auction fact sheet that this service has the potential to become "a major competitor to local exchange and cable television services." Licenses will be granted for a ten year (10) term, at which time the Company and other licensees must demonstrate to the FCC that it is providing "substantial service" to the service area of the license.

LMDS systems may consist of multi-cell configuration distribution systems with return path capability. Generally, each cell will contain a centrally-located transmitter (hub), multiple receivers or transceivers, and point-to-point links interconnecting the cell with a central processing center and/or other cells.

The FCC Auction included two blocks of spectrum, or airwaves, in the 28, and 31 Gigahertz Band for the 168 licenses auctioned; the "A Block" includes 1,150 Megahertz of spectrum, and the "B Block" includes 150 Megahertz of spectrum. The FCC auctioned 121 of the larger licenses and 40 of the smaller licenses, for a total number of 161 licenses.

2.) PREPAID TELECOMMUNICATIONS SERVICES

Prepaid Tel.com Inc.

The Company will initially perform its prepaid services in the State of California, and has filed an application with the California Public Utilities Commission ("CPUC") to become a Competitive Local Exchange Carrier ("CLEC") in California.
The Company anticipates it will receive approval to operate as a reseller of the following telecommunications services during the second quarter of 1999:

Prepaid Wireless (approved 3/5/99)
Prepaid Wireline (approval expected 6/03/99):
Residential Local Telephone
Long-Distance
The Company may purchase a telecommunications switch to enable it to operate as a facilities-based CLEC. The Company would co-locate the switch at a location in Sacramento or San Francisco, either where Pacific Bell locates its telecommunications equipment, or in a carrier neutral telecommunications switch facility. This factor will minimize transmission operating expenses, and provide easy equipment access for the Company's technical staff. This equipment will facilitate the Company?s offering of both wireline and wireless telecommunications services.

Prepaid Wireline Services

The initial service to be offered is prepaid residential local telephone service. Although many of the Distributors currently offer this service for another CLEC, the Company's initial research indicates that most of the Distributors are looking to partner with a stronger carrier, offering better, comprehensive telecommunications services. Due to personal relationships and network contacts maintained by the Company's management team, the Company is confident that the Distributor's will readily switch to the Company's offering.

The Market
The Distributors distribute the prepaid local service to the following retail customer segment:
Consumers who are unable to re-establish an account with a local telephone company due to previous poor credit experiences or history;
2-4% of the US population who are unable to establish a telephone account due lack of proper identification or lack of credit information.

Other Services

The Company will offer prepaid long distance wireline calling cards to the Distributors as a complementary product, initially as an agent for another CLEC. This will serve as a convenience for the Distributors, as the Company will be striving to secure, solidify, and expand its base of distribution in California and throughout the US.

3.) FLAT PLANE ANTENNA

Zenith Technologies Inc.

Zenith Technologies Inc, a wholly owned subsidiary of Prime Companies Inc., has exclusive marketing rights, which it acquired from Ave Inc., to a flat-plane antenna operating in the 11.7 to 12.7 GHz spectrum which is being developed and patented by NASA. Portions of the spectrum in which the antenna operates and for which Zenith Technologies has acquired the marketing rights has been allocated by the Federal Communications Commission. The spectrum is used by Direct Broadcast Satellite television providers among which are PrimeStar, EchoStar, DirecTV and USSB. DBS customers currently use an 18 to 36 inch parabolic dish antenna.

The advantages of Zenith Technologies' flat plane antenna are significant in that the antenna:

Offers an alternative, competitive antenna for DBS providers
Is more compact; a more elegant, less obtrusive installation
Is easier and less expensive to ship.
Does not require precise positioning required by parabolic dish antennas.
Potential capability to enable local programming reception.

Another significant characteristic of The Zenith Technologies antenna is that it can be modified to be used for transmission as well as reception. While not essential to the DBS market, this capability is significant in other applications such as wireless local loop and Local Multipoint Distribution Systems (LMDS) discussed earlier in this document.

Zenith Technologies intends to market the antenna product to the DBS market through major peripheral product companies who distribute directly to the DBS providers. As regards the building of the unit, the design of the flat plane antenna is relatively straight forward and Zenith Technologies will outsource manufacture of the product.
