Dear TEDennis: And the FEES, dont you just love those Fees?? I usually advised my small, non public clients that if they had ANY thought of going public to start having audits right from the beginning. If you have 3 years of audits under your belt with the Auditors keeping copies of nearly all important documents in their Permanent File it is a much easier process. Your situation sounds like you might have been better off to have founded an entirely new company and started from there. Well, at least you only have to do it once, but I can imagin your frustration. JDN
