soft drink distribution rights to Overland Beverage Distributing Inc.,
a beverage distributor that focuses on the sale of specialty drinks.
Massimo Da Milano Inc. will receive 1,000,000 of common stock in
Overland Beverage Distributing Inc. in exchange for the assignment of
certain soft drink distribution rights in the continental United
States. Massimo plans to distribute 50% of the Overland stock that it
receives to its shareholders of record as of Dec. 31, 1999.<<<
