To All CAV stock holders:

I just got my CAV annual report and proxy. I have a great concern about Proposal #3 which reads as follows:

PROPOSAL TO AMEND THE AMANDED AND RESTATED CERTIFICATE OF INCORPORATION OF THE COMPANY TO INCREASE THE NUMBER OF AUTHORIZED SHARES OF COMMON STOCK OF THE COMPANY FROM 15,000,000 TO 50,000,000.

Am I just stupid to not just blindly check the "for" box, or do as most other stock holders do and pitch it in the trash like all of the other junk mail. I'm no financial wizzard, but I can easily spot stock holder DILUTION. Just what do you think will happen to the value of your shares when CAV dumps another 35,000,000 shares on a market that hardly knows that they exist. This company ain't Intel or Microsoft, folks. The stock price is barely hanging on to 10. Oh sure, even if the stock price gets diluted down to 4 or 5, CAV still ends up with more working capital. BE SURE TO READ PAGE 4 OF YOUR PROXY ADDENDUM, AND MOST OF ALL BE SURE TO *VOTE*.
