I would be interested to know your precise definition of float.

I had always assumed, or perhaps read somewhere, that stock held by mutual funds, venture capital funds, corporations holding the stock of other companies, insiders (officers, board members, and their families, etc.) were NOT considered to be in the float.

By this definition it seems to me that if whoever bought the debentures (as I recall it was a private placement) elects to hold the stock after forcing conversion, that those shares would not be included in the float.
