Stan Schroeder (in one of the earlier messages) says he saw it. I went into the SEC documentation and couldn't find it because the original purchase/sale agreement between Intel and Radisys wasn't available. However, I can tell you that if Intel did agree not to sell the any shares of RSYS for a year, it would not be unusual. What I did find, however, was that Intel, in the deal, was given warrants to purchase an additional 300,000 shares of RSYS at no more than $15 per share. Those warrants can be exercised until 4/98.

In any case, I agree with Baird Soule in that Intel won't sell its shares at 30, maybe not even at 40. RSYS is a too valuable a "captive" customer/supplier for Intel unless the stock goes up enough to be even more profitable. Even then, Intel may want to keep a piece of Radisys given the fact that they still might share designs and other stuff.
