Ants Software.com Seeks SEC Permission to Withdraw Registration

Santa Barbara, California Jan. 5 (Bloomberg) -- Ants
Software.com asked the Securities and Exchange Commission to
withdraw a securities registration that prompted the software
company's outside auditor to resign.
The company's auditor, Jaak Olesk, quit Monday after Donald
Hutton, Ants' chairman, incorrectly identified himself as a
certified public accountant in a filing that sought permission to
issue shares. Yesterday, the company issued a press release
saying Hutton is not a CPA.
``We submit this request as the registration statement was
inadvertently filed prior to its completion,' said Ants in
today's filing.
The company asked the SEC to withdraw the registration under
Rule 477, which allows the agency to permit a withdrawal if it is
``consistent with the public interest and the protection of
investors.'
Ants needed to file with the SEC to register 80,000 shares
of stock set aside for John Wilczak as part of a severance
agreement. Wilczak worked as chief executive for six months. On
Dec. 8, Wilczak was given stock options allowing him to purchase
the shares -- then trading at $14 1/ 32 -- at $0.50 per share
anytime during the next five years.
Ants gained 4 1/8 to 24 in early trading. Its shares have
been volatile over the past two weeks, trading between 5 1/2 and
54 1/8.
