Chat Room and Message Board Agreement
Section 1: Web Site Owner's Rights and Duties
Tokyo Joe's Societe Anonyme ("SA") currently owns and operates a
Premium Chat Room (the "Chat Room") located on Internet Relay Chat,
and Message Boards (the "Message Boards") located at its web site at
tokyojoe.com. As a Chat Room or Message Board User
("User"), you are responsible for your own communications and are
responsible for the consequences of posting those communications.
SA does not represent or guarantee the truthfulness, accuracy or
reliability of any material posted by Chat Room Users or endorse any
opinion expressed by Users. User acknowledges that any reliance on
material posted by other Users will be at User's own risk.
SA does not screen communications in advance and is not responsible
for screening or monitoring material posted by Users. If notified by a User
of communications which allegedly do not conform to this Chat Room and
Message Board Agreement, SA may investigate the allegation and
determine in good faith and its sole discretion whether to remove the
communication. SA has no liability or responsibility to Users for the
performance or nonperformance of such activities.
SA reserves the right to expel Users and prevent the further access to the
Chat Room and/or Message Boards, or cancel their membership in SA
without refund, for violating this Chat Room and Message Board
Agreement or the law, and the right to remove communications or Users
that are illegal, abusive or disruptive.
Section 2. Usage Agreement
In consideration of being allowed to use the Chat Room and/or Message
Board facilities provided by SA, the User agrees that User will not:
a. Use the Chat Room or Message Board facilities for any purpose in
violation of local, state, or national laws of any country.
b. Post material that is copyrighted unless User is the copyright owner or
has the permission of the copyright owner to post it.
c. Post material that is obscene, defamatory, threatening, harassing,
abusive, hateful, or embarrasing to another User or any other person or
entity.
d. Post advertisements or solicitations of business except in those
Message Boards specified as being designated for such purposes.
e. Disrupt the normal flow of dialogue, or post comments that are not
related to the topic being discussed (unless it is clear that the discussion
is free form).
f. Impersonate another person.
g. Violate any other rules as set forth on the SA web site or in official SA
e-mails regarding proper usage of and conduct in the Chat Room and
Message Boards.
Section 3: User Rights Granted
By posting communications in the Chat Room and/or Message Boards,
User grants:
a. To SA a royalty-free, perpetual, irrevocable, nonexclusive right to use,
modify, reproduce, publish, translate, distribute, perform and display
those communications alone or as parts of other works in any form,
media, or technology whether now known or hereafter developed and
sublicense such rights through multiple tiers of sublicensees.
b. To other Users the right to access, view, store and reproduce such
communications for personal and private use.
General Rules:
S.A. reserves the right to refuse any application, and to temporarily
suspend or permanently revoke membership in either the chat service
alone or your membership in total at any time without notice or refund.
You must be 18 or over to be a member of SA.
Traders participating in the SA chat room are expected to maintain a
courteous and professional attitude at all times. Off-topic or discourteous
chatter during market hours is considered disruptive. Our experience is
that the vast (and often silent) majority of chat room participants expect
and demand that disruptive chatter be absent while the markets are open
and they are trying to concentrate on trading.
Discourteous or offensive comments while the markets are closed is also
considered disruptive. All ideas, suggestions or other items submitted
to Tokyo Joe's Societe Anonyme for any purpose whatsoever immediately
become the sole and exclusive property of SA, and the submitter
relinquishes all right or title to them and expects no compensation as a
result of submitting them. No member may copy or otherwise
communicate to non-members any SA materials or other SA information,
or reveal SA's view of or position in any stock, without SA's written
permission.
In the chat room, negative comments about SA or its chat room, its
personnel, or the stocks that it is following may subject you to discipline,
including a temporary or permanent ban from the room or loss of your SA
membership.
Accordingly, any disruptive behavior will be subject to discipline.
Disruptive behavior will lead to a temporary or permanent ban from the
chat room. It may even lead to forfeiture of all membership privileges
without refund. Decisions on bans and other forms of discipline are in the
sole discretion of the channel moderators. Adherence to these rules will
enhance your trading experience.
Participating in chat rooms that are known or believed by SA to steal and
discuss confidential SA information will result in immediate loss of your
membership.
SA does not warrant that the e-mails or the Premium Chat room will be
devoid of salty or otherwise offensive language. By accepting
membership in SA, you accept the use of such language in any and all
communications, though a basic Premium Chat rule is that members
may not use offensive languages.
While SA will endeavor to deliver e-mails to members in as timely a
fashion as possible, it is not responsible for delays or non-delivery caused
by actions taken or procedures followed by members' Internet Service
Providers or general problems related to the internet, or errors made by
the members themselves.
Tokyo Joe's Societe Anonyme Cancellation Policy:
Tokyo Joe's Societe Anonyme, as stated in its disclaimer, has a strict
policy of not granting refunds. Membership Fees are charged to a
Member's credit card automatically in advance upon sign-up and on each
subsequent Renewal Date unless and until we receive a written Notice of
Cancellation (a "Cancellation Notice"). To submit a Cancellation Notice, a
member must inform us by either editing their Member Profile in the
Member's area of the tokyojoe.com web site, or by sending a
cancellation e-mail to membership@tokyojoe.com. Cancellations not
made in the Member's Profile area of the web site must be made in
writing in e-mail form. Upon receipt of a Cancellation Notice, we will
terminate all membership privileges immediately, without refund, and no
subsequent charges will be made to the member's credit card for
Membership Fees. Cancellations may not be made retroactively -
messages to us that a cancellation was intended before a previous
renewal date are disregarded pursuant to the no-refund policy, and will
only result in an immediate membership termination with no refund unless
the member can supply a copy of a valid Cancellation Notice that had
been submitted to us before a previous Renewal Date.
