Anyone predict what the merger price will be?

This sentence from an article <http://dailynews.yahoo.com/h/nm/20000110/ts/aol_timewarner_1.html> concerns me:

"Dulles, Va.-based AOL (AOL) currently has a market capitalization of about $164 billion, about twice the $83 billion of New York-based Time Warner, but the deal's terms are unlikely to value AOL as highly, the people told Dow Jones."

What the heck does that mean? That AOL has agreed to a merger price below $73??!?!?!?
