If I ever see this proxy I'll vote NO.

I doubt my small number of shares will make much of a difference. The chances are probably nil that approval will not be given. I'm sure that Mr. Cowell has a majority of shareholder votes in his pocket.

If USR makes earnings estimates today, the forward PE assuming flast earnings for the rest of 1997 would be 15. If you go with the estimates, it's even lower. This is outrageous. 3COM has a strangle hold on our stock.
