When there is a clash between old money valuations and Internet money valutiions (AOL had the higher market cap but TWX had the higher cash flow)..this is a wake up call.
I think maybe Case navigated AOL at the very peak of its net worth into the hands of partners who can nourish it--before it had to reveal itself as a company with a very constrained future, ie, replacable. but now it is not replacable; it is part of A MAJOR MEDIA POWER. AOL needed this deal.
