I agree with you on your thoughts on Duch auction.

If I may add one more thing.
It seems to me that in the dutch auction process the bidding comes before the co goes to the market since investors bid to get in.
And since the stock market is also a bid and ask process -- one offsets the other.
The only exception I know so far is ANDN
