I own INTC, USRX and COMS @ 35 (prior to the announcement).

Can you tell me what, exactly, is the significant penalty? How much?

Do I think it is a good deal? NO. I liked USRX on its own. I am not sure 3COM can pull its weight. When I bought 3COMS it was due to TA and not fundamentals.
