GO ONLINE NETWORK CORP ACQUIRES WESTLAKE CAPITAL CORP. AND ELECTS SUCCESS ISSUER REPORTING STATUS
BUENA PARK, CA, (Business Wire) January 11, 2000: Go Online Networks Corporation (OTCBB: GONTE) (OTC-BB GONT) announced today that the company has entered into a stock exchange agreement with Westlake Capital Corp.(a fully reporting company) under which Go Online acquired 100% of the stock of Westlake. Immediately subsequent to the stock exchange, Go Online elected successor issuer reporting status under Rule 12g-3 of the Exchange Act. The Company will file a Form 8-K with the SEC which will provide more information on the stock exchange as well as appropriate financial information with respect to the two entities. The Form 8-K filing, which is expected to be available through the SEC's EDGAR system within the next 24 - 48 hours at www.sec.gov, is Go Online's initial filing as a fully reporting company.
"Go Online's status as a fully reporting company should permit us to remain publicly traded on the NASD OTC-BB and emphasizes our intention to keep investors informed about our operations," said Joseph Naughton, CEO of Go Online.
Go Online also announced that it had withdrawn its SB-2 Registration Statement pending completion of financing arrangements with investors since that filing is no longer required to obtain reporting status.
