jmac The merger has to be approved by shareholders of both companies. As I haven't received any proxy yet, I don't know when the special meeting is. If the shareholders of either company turn it down, there will be no penalty (my thoughts). They wouldn't however have gone ahead with the merger unless they were pretty sure they had enough votes. I'm not against a merger it's just the wrong way round, USR should be taking over 3Com, say three 3Com shares for one USR share. I've followed USR for three years now and I feel it's a dynamic company that is being sold short. John
