InSilicon files for initial public stock offering

WASHINGTON, Jan 13 (Reuters) - inSilicon Corp., whose communications technology is used to design complex semiconductors called systems-on-a-chip, filed Thursday for an initial public offering.

The company, based in San Jose, Calif., filed a preliminary prospectus with the Securities and Exchange Commission to raise more than $44 million and use the net proceeds for working capital and general corporate purposes.

Terms of the IPO such as the number of shares and their offering price were not disclosed in the prospectus. They are expected in future SEC filings.

The company's technologies are used in different digital devices ranging from network routers to cellular telephones. The Internet is creating the demand for all digital devices to be connected, said inSilicon, located online at wwwinsilicon.com.

The demand is generating a variety of communications standards like Ethernet, USB and DSL, and the proliferation of these standards and products based on them is driving the demand for complex semiconductors, it added.

Phoenix Technologies Ltd. (NasdaqNM:PTEC - news), which provides system-enabling software for personal computers and connected devices, currently owns all of inSilicon's common stock.

It is not selling any of its inSilicon common shares in the IPO, the filing said.

The underwriters of the IPO are Robertson Stephens, Prudential Volpe Technology and Needham & Co.

InSilicon has applied to trade its shares on Nasdaq under the symbol ``INSN.'
