I'll attempt to answer my own question:

If I were Brazilian gov't., I'd want any kind of deal like this to benefit my work force, not just my consumers. I also want to increase the wealth of my country.

If I am PLFM, I'd want some insurance that Anatel won't pull the license in case of some minor mishaps. I'd also want to make sure that I have managers in Brazil who have a vested interest in making this thing fly (who cares if pun is intended or not!), fly right, and can be held accountable. I'd also want to give the gov't. a reason to cut us some slack when we need it.

If Aeromot gets equity, all of this gets accomplished, and all parties who can exercize control of this project are on the same team, and have a reason to work toward success.

Any comments?
