Still haven't received my proxy, and don't expect to for a couple of weeks because all my shares are in street name. But based on what little others have posted, I get the impression that the increased shares were going to be held as collateral by some entity which is going to provide significant financing. If this is anywhere near correct, then even with the greatly increased number of shares authorized, there might never be any dilution. By giving a lender control of a voting majority of the authorized and outstanding shares, that lender can make sure things get done properly and as agreed. He gets to vote the shares, but since they are restricted, he can't sell them. And if the borrowed money is properly repaid, then the shares would be returned and could be retired to treasury stock (which means they would still be authorized, but no longer outstanding.)

One element which many seem to object to on the proposal is that it appears to unfairly enrich some members of management.

This is all speculation until I get to read the proposal. George
