..it's not really a private placement in the normal 'sense'...special warrant issues are done in Canada for 'quick deals' where the price can be set and the orders filled by 'intituional and large retail buyers' .. the prospectus gets cleared over time and the special warrants get converted into regular common shares...what is weird is their timing...normally pre-Nasdaq listing you go to your US sponsoring broker/market maker(s) and allow them to participate in a "US" issue ... paying them for their help...
