If this info is correct then there is no premium to WLA's current price in the event of a buyout.

Warner-Lambert Caves
To Sweet Sounds of Cash
An INTERACTIVE JOURNAL News Roundup

Money talks, and the chatter got loud enough to get Warner-Lambert Co. to the bargaining table with Pfizer Inc. and restart talk about merger fever in the pharmaceuticals sector.

Warner-Lambert's board Thursday warmed to the idea of a transaction with its hostile suitor, admitting that such a move may be better for shareholders than a planned merger with American Home Products Corp.

Better, indeed. Pfizer's bid is currently valued at $78.64 billion, or $92.19 a Warner-Lambert share -- or 45% more than American Home's offer of $54.24 billion, or $63.59 a share.
