Rick, you've just described why floorless issuances are usually a bad deal for common shareholders. The interests of the floorless holders are not necessarily aligned with those of the common shareholders. However, for companies that need money and cannot raise it under less onerous terms, it is often the only financing available.

By the way, floorless deals often have some sort of restriction on shorting by the floorless holders. I did not see any such restriction in this deal.
