SHOWSTAR ONLINE.COM ("ABID-L") - Files Form 10-sb With Sec To Become A Fully Reporting Company
Showstar Online.com, Inc. announced that on January 14, 2000 the Company filed a Form 10-SB registration statement with the Securities and Exchange Commission ("SEC") pursuant to Section 12(g) of the Securities Exchange Act of 1934, as amended, to become a reporting issuer.

"The filing of our Form 10-SB represents an important milestone for the Company," said John Punzo, CEO of Showstar Online.com. "Through the SEC's EDGAR database at "http://www.sec.gov/edgarhp.htm" of publicly filed and available information, Showstar Online.com believes it will generate greater market interest from both the domestic and international financial communities. In addition, the Company's dissemination of financial information should keep our investors and other interested parties better informed about the Company's financial position and performance."

These efforts also are in response to the new NASD Eligibility Rule for OTCBB companies, which was effected January 4, 1999, requiring all companies listed on the OTCBB to effectuate and maintain reporting company status in accordance with the U.S. Securities Exchange Act of 1934. Under the new Eligibility Rule the Company is required to attain reporting company status by April 2000. This filing assures that the Company will satisfy the new Eligibility Rule.

As a reporting company, the Company will be required to file annual reports on Form 10K-SB, quarterly reports on Form 10Q-SB, and reports of unusual events on Form 8K. The Company also will be required to solicit proxies for its annual meeting in accordance to Section 14 of the Securities Exchange Act of 1934 and other reporting requirements will apply to management shareholdings.
