Mr. Spira is correct. Jack Carella was considered by me to stand on my slate. Jack was suggested by Mr. Spira as a candidate for the board in early 1999. I met with Jack and found that he had the attributes that I believed would benefit E-Data. It was the intention to have Jack join the Board when one of Mr. Spira's 2 incumbent Directors resigned.

I did not believe it was correct to have 3 Directors representing the interests of one shareholder on a board of 5 directors.

Jack Carella is an honourable man and he did indeed think that to be on both slates would be confusing and that his being a partner of Mr. Spira determined that he should only be on the opposing slate. I concurred with that decision, Jack and I have had and continue to have conversations and what we both agree on is that this type of abuse is neither acceptable nor productive.

With regard to Mr. Hillstrom, we have had a few calls, it was his suggestion that the best way forward was to pursue potential infringers in other states.

Prior to December 1994, when the discussions regarding the purchase of the Freeny patent were taking place, I did not know Mr. Spira. It should also be noted that the main players who raised the finance necessary to purchase the patent were called Giakis and Arnone.

Steve Schwartz did not resign for the reason for the reason given by Mr. Spira.

There is another Court case in Utah this week and we will deal with it in the exact same way as we dealt with Mr. Franzese's previous attempts to abuse the interests of the shareholders of this company.

This is my last response to the personal attacks by Mr. Spira, but I have some questions of my own:

1. Why have you not asked, on any occasion, what has happened to the $800,000 that is missing?

2. In your proxy documents, or in your releases to the web, there is NO mention of what your Business Plan is for this Company. No one objects to being replaced by a better team but I do not see a Plan. Where is the Future and what is the Plan to get there?
