Network signaling software firm Ulticom files IPO

WASHINGTON, Jan 19 (Reuters) - Ulticom Inc., a provider of network signaling software for wireless, wireline and Internet communication services, filed to raise $50 million in an initial public offering.

The terms of the offering, such as the number of shares and their projected price range, were not disclosed in a preliminary prospectus filed on Tuesday with the Securities and Exchange Commission.

Those details are expected in later filings.

Ulticom, which is based in Mt. Laurel, N.J., has applied to trade the shares on Nasdaq under the symbol "ULCM," and the underwriters are Lehman Brothers, Chase H&Q, U.S. Bancorp Piper Jaffray and Fidelity Capital Markets.

The company, formerly known as DGM&S Telecom Inc., plans to use the net proceeds to repay bank debt, finance continued business growth and for other general corporate purposes.

Ulticom's Signalware call control products interconnect the switching, database and messaging systems and manage the important number, routing and billing information that form the backbone of today's communication networks, the filing said.

Signalware lets communication service providers offer things like voice-activated dialing, prepaid calling, caller ID and text messaging.

Ulticom, whose customers include Compaq Computer Corp. (CPQ), Lucent Technologies Inc. (LU) and MCI WorldCom Inc. (WCOM), said demand for enhanced voice and data communication services has grown quickly recently in part because of the Internet and the growth in wireless subscribers.

As a result, network equipment manufacturers, application developers and service providers increasingly need products to help them meet the demand for those services.

Ulticom, which had 149 employees at the end of October, is located online at ulticom.com.
