Could it be due to speculation, albeit small, that the merger may not happen? If it didn't then ETEK shares would dive back to ~their original share price. So, the currently lower trading price could be a protective measure in that unlikely event.

Other than this, and assuming one does not sell before the transaction is final, isn't owning ETEK *exactly* identical to owning 1.1 shares of JDSU for each share of ETEK?
