The management and staff of AXYN Corporation and its associated affiliate companies wish all our shareholders a New Years greeting with hopes that the new millennium will bring prosperity and good cheer to you and yours.
AXYN's Future
Several shareholders have asked what AXYN's plans are, post Y2K and since its core business was Y2K remediation could we reassure the stockholders that the future is still bright for AXYN. A recent research paper on AXYN by CSK Research of Novato, California, USA provided the following observations on AXYN and its future:
.Through a series of recent acquisitions, the Company now offers leading technical knowledge, specialized hardware technology and proprietary software to offer not only Y2K solutions, but advanced computer solutions in the focused areas of mobile communications and computing (MC&C), crisis control centers, systems integration and consulting services.
.AXYN has chosen the strategic specialization of MC&C because wireless technology and computer solutions for the mobile workforce is currently experiencing explosive growth as businesses and the public sector find it absolutely necessary in this competitive environment that each worker have immediate information at their fingertips. AXYN is marketing to four high-growth business sectors: logistics, public safety, healthcare and distance education.
.AXYN is also developing the "next generation" for a crisis management center for the Canadian government. The Canadian government foresees the need of a national-level facility to coordinate the crisis responses of both civil and military authorities in the event of a major catastrophe. This project has lead to several other crisis center opportunities for AXYN, including the Polish government.
.AXYN acquired two Internet companies on June 30, 1999 and subsequently signed a Letter of Intent to combine and spin off S.I.Q. (Service Internet Quebec) Inc. and Profil CDI. This decision was taken so the electronic commerce companies can realize their full value as independent business operations and generate better value to shareholders. Other recent acquisitions give AXYN a ready-made, established entry into the rapidly expanding group video conferencing market segment. Its systems integration business unit provides AXYN with the essential link so that AXYN can offer complete, turnkey services to their clients. AXYN has put together all the necessary business units to become a leading company in its rapidly expanding target markets.
.We believe AXYN provides investors with a rare opportunity to get in on the ground-floor stock prices of a soon-to-be explosive growth company. Based on our earnings projections, we have a target stock price of over $20 within two years.
While AXYN will not comment directly upon the research report, we believe that it provides shareholders with sufficient public information about our current direction and strategic plans to respond to the question – Is the future still bright for AXYN? Management strongly believes that the acquisitions completed last June and the growth of e-commerce and mobile wireless communications presents our shareholders with a strong corporate future and confidence in the strategic direction that AXYN is heading. First quarter (Q1FY2000) results for AXYN were three (3) times the entire revenues of fiscal 1999 and we expect Q2 to exceed these numbers further. We are committed to bringing our shareholders increased value and look confidently to our future.
AXYN and the SEC FORM10 Filing
On September 4, 1999 AXYN became an "effective issuer" and a "fully reporting company" under the new SEC rules in response to our Form10-SB filing. The next step to returning to the NASD OTCBB is to satisfy all SEC identified questions and clarifications regarding our Form10-SB document. Up to December 1, 1999 the SEC identified 1,975 companies that were non-reporting and to date over 60% are still not trading. Another 2,500 companies will be subject to the SEC reporting requirements in the next 6 months. This situation, while difficult for management and shareholders to appreciate, implies that most companies will take between 6 to 9 months to complete the entire process. We are not alone.
On December 21, 1999 the company filed a second amendment to the FORM 10-SB filing to the SEC. This document is available on EDGAR (click here to view filing). This amendment was in response to a second SEC comment letter received by the company. Management believes that it has responded to each SEC question and request for clarification and the company is now awaiting a response from the SEC.
Shareholders can continue to trade AXYN shares through their brokers by letting the broker know that AXYN is trading on the "Pink Sheets." or is directly accessible to Markers Makers with access to the Electronic Quotation Service. An electronic version of the Pink Sheets called the Electronic Quotation Service is accessible to Markers Makers and is updated daily and disseminated over market data vendor terminals.
